NEDOCS Terms of Service and Conditions of Use
The following terms constitute an agreement between You and NEDOCS LLC ("NEDOCS"), the operator of NEDOCS.org, and any of our other mobile or web services, applications, application programming interfaces, or platforms that we make generally available to our customers (the “Site”). This agreement governs Your use of the Site, both as a casual visitor and a registered member as described below.
By accessing or using the Site, You agree to be bound by the terms of this Agreement. To the extent You register on the Site as a member, then in addition to the terms that are applicable to all users of the Site, the terms that apply only to members shall apply to You too. "You" and "Your" means and refers to the person(s) or legal entity (whether the company, organization, educational institution, or governmental agency, instrumentality, or department) that has accepted this Agreement under its own member account and that is using the NEDOCS Site or otherwise exercising rights under this Agreement. Your Applications means an one or more software programs developed by You that (a) meets and complies with all of this Agreement, and (b) and includes any additional permitted functionality, content or services provided by You from within an Application. For the sake of clarity, You may authorize contractors to develop Applications on Your behalf, but any such Applications must be owned by You, submitted under Your own developer account, and distributed as Applications only as expressly permitted herein. You are responsible to NEDOCS for Your contractors’ activities under Your account (e.g., adding them to Your team to perform development work for You) and their compliance with this Agreement. Any actions undertaken by Your contractors arising out of this Agreement shall be deemed to have been taken by You, and You (in addition to Your contractors) shall be responsible to NEDOCS for all such actions.
Access Rights and Restrictions.
Right to Access. Subject to the terms and conditions of this Agreement, NEDOCS LLC of California (NEDOCS) hereby grants you a non-exclusive, non-sublicensable, non-transferable right to access and use NEDOCS.org and its Applications, solely for your internal business purposes. All rights not expressly granted are reserved by NEDOCS. Except for the rights expressly granted to Customer in this Agreement, NEDOCS grants and Customer receives no other rights or licenses to any parts of NEDOCS.org, whether by implication, estoppel or otherwise. Use Restrictions. You shall not (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the NEDOCS.org in any way; (iii) reverse engineer or access NEDOCS.org in order to (a) build a competitive product or service, (b) build a product using similar ideas, features, functions or graphics of NEDOCS LLC of California or (c) copy any ideas, features, functions or graphics of NEDOCS.org. You may use NEDOCS.org only for your internal business purposes and shall not: (i) send spam or otherwise duplicative or unsolicited messages in violation of applicable laws; (ii) send or store infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including material harmful to children or violative of third party privacy rights; (iii) send or store material containing software viruses, worms, Trojan horses or other harmful computer code, files, scripts, agents or programs; (iv) interfere with or disrupt the integrity or performance of the Service, Applications, or NEDOCS Technology or the data contained therein; or (v) attempt to gain unauthorized access to NEDOCS.org, or its related systems or networks. You shall not provide, disclose, divulge or make available to, or permit use of NEDOCS.org by persons other than you, contractors and agents who are under a legally binding obligation of confidentiality consistent with the confidentiality provisions of this Agreement.

Privacy
You agree that You have read, understood and accept NEDOCS Privacy Policy. This policy explains NEDOCS collection of personal and non-personal information from You when using the Site and its use of and sharing of such personal and non-personal information. We also encourage You to read our Openness philosophy.

Member Password and Login Identity
You are responsible for maintaining the confidentiality of Your member password and login, and are fully responsible for all activities that occur under Your password or account with or without Your knowledge. If You knowingly provide Your login and password information to another person, Your membership privileges may be suspended temporarily or terminated. You agree to immediately notify 1upHealth of any unauthorized use of Your membership password or login or any other breach of security.
You are responsible for maintaining the confidentiality of Your member password and login, and are fully responsible for all activities that occur under Your password or account with or without Your knowledge. If You knowingly provide Your login and password information to another person, Your membership privileges may be suspended temporarily or terminated. You agree to immediately notify 1upHealth of any unauthorized use of Your membership password or login or any other breach of security.
Platform Use License
NEDOCS hereby grants You a non-exclusive, non-transferable, worldwide right to access and use the Site, solely with supported browsers through the Internet for Your own internal purposes, subject to the Terms of Service. You may not permit 1upHealth to be used by or for the benefit of unauthorized third parties. Nothing in the Terms of Service shall be construed to grant You any right to transfer or assign rights to access or use 1upHealth. All rights not expressly granted to You are reserved by 1upHealth and its licensors. You further acknowledge and agree that, as between the parties, 1upHealth owns all right, title, and interest in and to 1upHealth, including all intellectual property rights therein.

Governing Law and Venue
This agreement shall be governed by the laws of the State of California and the applicable federal laws of the United States of America. All disputes arising under, or in any way connected with membership in or use of the Site, shall be litigated exclusively in the state and federal courts residing in the State of California, and in no other court or jurisdiction. You hereby submit to the jurisdiction of the state and federal courts sitting in the State of California.
